Service Partner Portal
Terms & Conditions
Last updated: [date] · Version [x.x]
These Terms & Conditions govern access to and use of the ON TOP Service Partner Portal (the "Portal") by approved service partners. By registering for, or using, the Portal you agree to these Terms. If you do not agree, do not register or use the Portal.
1Acceptance of terms
By submitting a registration application and checking the acceptance box, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions on behalf of the company you represent, and that you are authorised to do so.
2Eligibility & approval
The Portal is available only to approved trading companies acting as service partners. Registration does not grant access. Each application is reviewed by an ON TOP administrator, and an account becomes active only after approval. ON TOP may approve or decline any application at its discretion.
3Partner account
You must provide accurate, complete, and current company information, including a valid business license, and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
4Nature of the service
The Portal is a request-allocation tool. ON TOP provides customer inquiry information only and acts as a sourcing and introduction platform. ON TOP is not a trading company and does not buy, sell, ship, or handle payment for any goods.
5Claiming requests
Approved partners may view available customer requests and claim them. Each request can be claimed by one partner only.
- The first partner to successfully claim a request takes ownership of it.
- Once claimed, the request is immediately removed from every other partner's available list.
- Only the assigned partner may continue managing that request.
6Customer contact & communication
After claiming a request, the assigned partner is given the customer's contact details. The customer information provided is solely for responding to that inquiry. All communication takes place directly between the partner and the customer by email or telephone, outside of the Portal. The Portal does not provide an internal messaging service.
7No party to transactions
8Partner obligations
- Respond to claimed inquiries professionally and in good faith.
- Comply with applicable laws, product safety standards, and regulations.
- Do not misuse, resell, or share customer information beyond responding to the inquiry.
- Do not attempt to circumvent, manipulate, or abuse the request-allocation system.
9Data & confidentiality
Customer contact details accessed through the Portal are confidential and may be used only for the purpose of responding to the specific inquiry. You must handle all personal data in accordance with applicable data-protection law. [Insert data-protection / GDPR clause as required.]
10Suspension & termination
ON TOP may suspend or terminate a partner account at any time for breach of these Terms, misuse of customer data, or conduct that harms customers, other partners, or ON TOP. You may request account closure at any time.
11Limitation of liability
The Portal is provided on an "as is" basis. To the fullest extent permitted by law, ON TOP is not liable for any loss or damage arising from the use of the Portal or from any dealings between a partner and a customer. [Insert final liability wording from legal.]
12Changes to these terms
ON TOP may update these Terms from time to time. Material changes will be communicated to partners, and continued use of the Portal after changes take effect constitutes acceptance of the updated Terms.
13Governing law
These Terms are governed by the laws of [jurisdiction], and any disputes are subject to the exclusive jurisdiction of the courts of [jurisdiction]. [Confirm with legal.]
14Contact
Questions about these Terms can be directed to ON TOP at [contact email].
